Dr. Michael Warren

Dr. Michael Warren and the Transitions Elite team focus on companion-animal veterinary practice transitions. We translate deal terms into plain English before a signature creates leverage problems.

What owners often miss

Purchase price and actual proceeds are not the same thing.

An offer can sound strong while still leaving major questions unanswered. The review separates the buyer’s headline value from the terms that decide what you actually receive and how much control you keep after close.

  • Rollover equity: how much value is deferred, what it depends on, and how realistic the second exit may be.
  • Earnout conditions: whether the targets remain under your control after the buyer changes the operating model.
  • Working capital and debt: adjustments that can change cash at close after the multiple has already been agreed.
  • Employment terms: compensation, non-compete, schedule, and decision rights after the transaction.
What we review

A seller-side read on the economics behind the offer.

We do not need you to commit to a sale process to have a useful first conversation. Start with non-confidential terms if you prefer.

Valuation basis

Is the multiple being applied to the right EBITDA number, and are add-backs being treated fairly?

Cash at close

What lands in your account after debt, fees, working capital, holdbacks, and seller notes?

Rollover equity

How much risk moves into a future event, and what assumptions need to be true for that future value to appear?

Earnout exposure

Which targets are objective, which depend on buyer-controlled decisions, and what happens if the practice misses?

Market alternatives

Whether a prepared competitive process could create better pricing, cleaner terms, or a better fit.

Timing pressure

Whether the deadline protects the deal or simply reduces your negotiating leverage.

Practice owners often arrive here after researching groups such as NVA, VCA, VetCor, AmeriVet, Thrive Pet Healthcare, PetVet Care Centers, SVP, or Mars Veterinary Health. These are examples only, and Transitions Elite is not affiliated with them or any other buyer group.

Who this is for

Built for owners with real buyer interest, not generic valuation curiosity.

If a buyer has reached out, asked for numbers, sent an IOI, or put an LOI in front of you, this review helps you decide whether to negotiate, pause, sign, or create competition.

Companion-animal practice

Best fit is a US general companion-animal veterinary practice, usually with roughly $2M+ in annual revenue.

Buyer outreach or offer

You have inbound interest, a verbal indication, an IOI, an LOI, or diligence pressure from a strategic or financial buyer.

Need an independent read

You want a seller-side view before sharing deeper materials, accepting terms, or letting a deadline drive the decision.

Already have advisors

We work alongside your attorney and CPA. They protect the documents; we help evaluate the veterinary deal market.

How it works

A practical second opinion before you lose leverage.

Step 1

Share the situation

Tell us where you are in the buyer conversation and what parts of the offer you want reviewed.

Step 2

Send what is comfortable

Start with non-confidential terms. If you choose to share an IOI or LOI, send only what you are comfortable discussing.

Step 3

Review the economics

We pressure-test the offer structure and explain the tradeoffs in owner language.

Step 4

Decide your next move

Keep negotiating, pause, sign, or create competition with a clearer view of the risks and alternatives.

Request the review

Tell us enough to qualify the conversation.

The secure form below first confirms owner status, revenue, and doctor count. Once you qualify, we collect the buyer name, offer stage, and documents only in the private follow-up.

  • Owner or partner status
  • Approximate revenue and doctor count
  • Private offer context collected after qualification

Request My Offer Review

This first step uses the current practice-value qualification form. After you qualify, we will ask for the buyer name, offer stage, and any documents you are comfortable sharing. Do not send confidential documents until we confirm the right next step.

Common questions

Before you send anything sensitive.

Should I send the LOI?
Only if you are comfortable. You can start with non-confidential terms such as buyer type, offer stage, broad valuation structure, rollover percentage, earnout, and timeline.
Is this only for practices over $2M revenue?
The strongest fit is a US companion-animal practice doing roughly $2M+ in annual revenue. If you are close to that range and have buyer interest, the form will still help us route the conversation.
Will you tell me if the offer is actually good?
Yes. The point is clarity, not automatically pushing you into a full sale process. Sometimes the right answer is to negotiate specific terms. Sometimes the right answer is to create competition.
Do I still need an attorney?
Yes, absolutely. Your attorney and CPA protect the legal and tax details. We help you understand the veterinary market, the economics, and the seller-side negotiation choices.
